By using Compoundry, you agree to these terms. Please read them carefully.

1. Acceptance

By accessing or using the Compoundry platform, website, APIs, or any related services ("Service") operated by Oriented Software LLC ("we," "us," or "Company"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and your organization will be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Service Description

Compoundry provides portfolio management, analytics, and research software delivered as a cloud-based service for investors, advisors, and financial professionals. Features may include portfolio tracking, performance analytics, reporting tools, market data integration, and related functionality. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice where practicable.

3. Investment & Financial Disclosure

3.1 No Investment Advice

The software, services, and content provided by Oriented Software LLC (doing business as "Compoundry") are for informational, educational, and self-directed research purposes only. Compoundry is a technology platform, not a financial advisor. Nothing contained in the Service constitutes a solicitation, recommendation, endorsement, or offer by Oriented Software LLC or any third-party service provider to buy or sell any securities or other financial instruments.

3.2 Not a Fiduciary

Your use of Compoundry does not create a fiduciary, advisory, or agency relationship between you and Oriented Software LLC. We are not registered as an investment advisor or broker-dealer with the U.S. Securities and Exchange Commission (SEC) or any state securities authority. You acknowledge that you are responsible for your own investment research and decisions.

3.3 Accuracy of Data and "As-Is" Service

Compoundry provides market data and portfolio analytics on an "as-is" and "as-available" basis. While we strive for accuracy, Oriented Software LLC does not guarantee the timeliness, sequence, accuracy, or completeness of any market data or information provided. Financial markets are subject to frequent changes, and you should verify any data independently before making trades.

3.4 Risk of Loss

All investments involve risk, and the past performance of a security, industry, or financial product does not guarantee future results or returns. There is always the potential of losing money when you invest in securities or other financial products. You should consult with a qualified financial, legal, or tax professional before making any investment based on the data provided by Compoundry.

3.5 Limitation of Liability

To the maximum extent permitted by law, Oriented Software LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Service or any investment losses you may incur. By using Compoundry, you assume sole responsibility for evaluating the merits and risks associated with the use of any information or content provided.

4. Account Registration & Eligibility

You must create an account to access certain features. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By using the Service, you represent that you meet these requirements.

5. Subscription, Fees & Payment

Certain features require a paid subscription. Fees, billing cycles, and payment terms are specified at the time of purchase or in your subscription plan. You authorize us to charge your designated payment method on a recurring basis. Fees are non-refundable except as required by law or as expressly stated in our refund policy. We may change subscription prices with at least 30 days' notice; continued use after the change constitutes acceptance. You are responsible for all taxes, including sales tax, VAT, or similar, unless we are required to collect them.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with these Terms and all applicable laws. You will not: (a) use the Service for any illegal, fraudulent, or unauthorized purpose; (b) attempt to gain unauthorized access to our systems, other accounts, or third-party data; (c) interfere with or disrupt the integrity or performance of the Service; (d) reverse engineer, decompile, or extract source code from the Service; (e) use the Service to build a competing product; (f) resell or sublicense the Service without our written consent; or (g) use automated means (e.g., bots, scrapers) to access the Service except through our official APIs. We may suspend or terminate accounts that violate these terms.

7. User Content & Data

You retain ownership of data and content you submit, upload, or transmit through the Service ("User Content"). By using the Service, you grant us a limited license to use, store, process, and display your User Content solely to provide and improve the Service. We will handle your data in accordance with our Privacy Policy. You represent that you have the right to provide User Content and that it does not violate any third-party rights or applicable laws. We are not responsible for User Content, and you use the Service at your own risk regarding the accuracy and security of your data.

8. Intellectual Property

The Service, including its software, design, content, trademarks, and documentation, is owned by Oriented Software LLC or its licensors and is protected by intellectual property laws. These Terms do not grant you any ownership rights. You receive only a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose during your subscription term.

9. Confidentiality & Data Security

We implement commercially reasonable technical and organizational measures to protect your data. Given the nature of financial data, we take security seriously but cannot guarantee absolute security. You acknowledge that transmission over the internet carries inherent risks. You agree to keep confidential any non-public information about our Service, technology, or business that you receive.

10. Term & Termination

These Terms remain in effect while you use the Service. For paid subscriptions, the term is as specified in your plan. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured. We may suspend or terminate access immediately for violations of these Terms, fraud, or illegal activity. Upon termination, your right to use the Service ceases. We may retain your data for a reasonable period as required by law or for backup purposes; otherwise, you may request deletion in accordance with our data retention practices.

11. Warranties & Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. The Investment & Financial Disclosure in Section 3 forms a critical part of these disclaimers with respect to financial information and investment decisions.

12. Limitation of Liability

To the maximum extent permitted by law, in no event shall Oriented Software LLC, its affiliates, or their officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from your use of the Service. Our total liability for any claims under these Terms shall not exceed the fees you paid us in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is greater. Section 3.5 (Investment Limitation of Liability) applies additionally to investment-related claims. Some jurisdictions do not allow these limitations; in such cases, our liability will be limited to the maximum extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless Oriented Software LLC and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.

14. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be resolved by binding arbitration administered in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the state of our principal place of business. You waive the right to participate in class actions. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

15. General Provisions

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Oriented Software LLC regarding the Service.

Modifications: We may modify these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use after the effective date constitutes acceptance. If you do not agree, you must stop using the Service.
